Welcome to Sole Studio. These Terms of Service ("Terms") govern your access to and use of the Sole Studio website, applications, and services (collectively, the "Service") operated by Sole Studio ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

Sole Studio is an AI-powered footwear design platform that enables users to create, edit, and visualize shoe designs. The Service includes features such as outline generation, color and material application, design fusion, and photorealistic rendering.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account and use the Service.

3. Credits and Usage

The Service operates on a credit-based system. Credits are consumed when you perform certain AI-powered operations, including but not limited to:

  • Generating shoe outlines from images
  • Applying colors and materials to designs
  • Creating photorealistic renders
  • Fusing two designs together
  • Rotating or transforming images

3.1 Credit Allocation

Credits are allocated based on your subscription plan and reset at the beginning of each billing cycle. Unused credits do not roll over to subsequent billing periods unless explicitly stated in your plan.

3.2 Credit Consumption

Different operations may consume different amounts of credits. We reserve the right to modify credit consumption rates with reasonable notice. Actions such as selecting regions, organizing projects, and browsing designs do not consume credits.

3.3 No Refunds for Used Credits

Credits that have been used cannot be refunded, regardless of whether you are satisfied with the output. AI-generated results may vary, and we do not guarantee specific outcomes.

3.4 Credit Expiration

Credits expire at the end of each billing cycle. If your subscription is cancelled or lapses, any remaining credits will be forfeited.

4. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Authorize us to charge your payment method on a recurring basis
  • Provide accurate and complete billing information

4.1 Free Trials

We may offer free trials at our discretion. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.2 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that time.

4.3 Refunds

Subscription fees are generally non-refundable except where required by law. We may, at our sole discretion, provide refunds or credits in certain circumstances.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of any images, designs, or other content you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

5.2 Generated Content

Subject to your compliance with these Terms and your subscription plan, you own the AI-generated outputs created through your use of the Service. You may use these outputs for personal and commercial purposes.

5.3 Restrictions

You agree not to upload content that:

  • Infringes on third-party intellectual property rights
  • Contains illegal, harmful, or offensive material
  • Violates any applicable laws or regulations

5.4 Our Intellectual Property

The Service, including its software, design, features, and content (excluding User Content), is owned by Sole Studio and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use automated tools to access the Service without permission
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Use the Service to generate content that infringes on trademarks, copyrights, or other intellectual property rights
  • Circumvent or attempt to circumvent credit limits or usage restrictions

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate designs and images. You acknowledge that:

  • AI outputs may not always meet your expectations or be suitable for your intended purpose
  • We do not guarantee the accuracy, quality, or appropriateness of AI-generated content
  • You are responsible for reviewing all generated content before use
  • AI-generated designs may occasionally resemble existing designs, and you are responsible for ensuring your use does not infringe on third-party rights

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • Any unused credits will be forfeited
  • We may delete your account and associated data after a reasonable period

You may terminate your account at any time by contacting us or using the account settings.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Sole Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sole Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Australia.

14. General Provisions

Entire Agreement:These Terms constitute the entire agreement between you and Sole Studio regarding the Service.
Severability:If any provision of these Terms is found invalid, the remaining provisions will continue in effect.
Waiver:Our failure to enforce any right or provision of these Terms does not constitute a waiver.
Assignment:You may not assign these Terms without our prior written consent.
